ACCESS TORQUE LLC — TERMS OF SERVICE

These Terms of Service (“Terms”) govern purchases made from Access Torque LLC (“Access Torque,” “we,” “us,” or “our”), including purchases made through our website, online stores, marketplaces, or other sales channels.

By placing an order with Access Torque, you acknowledge that you have read, understood, and agreed to these Terms.

1. Products and Product Descriptions

Access Torque sells new, used, refurbished, surplus, discontinued, and hard-to-find tools, equipment, components, and related products.

We make reasonable efforts to provide accurate descriptions, specifications, photographs, measurements, quantities, and other product information. However, minor differences may exist between photographs and the actual product, particularly for used, refurbished, surplus, or multi-quantity items.

Product photographs, descriptions, specifications, and other statements in an individual listing are intended to describe the particular product being offered.

Where an individual product listing expressly states a particular condition, specification, feature, function, or capability, that statement applies to that product and is not intended to be negated by these general Terms.

2. Used and Refurbished Equipment

Many products sold by Access Torque are used, refurbished, surplus, discontinued, or previously placed into service.

Used and refurbished equipment may show signs of prior use, including scratches, scuffs, paint wear, corrosion, markings, engraved identification numbers, replacement components, or other cosmetic or physical characteristics associated with previous use.

Unless specifically stated otherwise in the applicable listing, cosmetic imperfections do not necessarily indicate a functional defect.

For multi-quantity listings, the item shipped may differ in appearance from the item shown in photographs but will be of similar type, condition, and general quality as described in the listing.

For single-quantity listings, the specific item shown in the photographs is the item offered for sale.

3. Inspection, Testing, Safety, and Maintenance

Buyer and end user are responsible for properly inspecting products before use.

This responsibility is particularly important for used, refurbished, surplus, lifting, load-bearing, pressurized, torque-producing, electrical, hydraulic, pneumatic, or otherwise safety-sensitive equipment.

Before placing equipment into service, the buyer or end user is responsible for determining and performing any inspection, testing, calibration, certification, maintenance, repair, or other evaluation appropriate for the intended application.

Buyer and end user are responsible for reviewing applicable manufacturer manuals, safety documentation, warnings, instructions, laws, regulations, codes, and safety requirements before operating equipment.

Equipment must be properly installed, maintained, inspected, and operated within its applicable specifications and limitations.

4. Compatibility and Suitability

The buyer is responsible for determining whether a product is compatible with the buyer’s equipment, application, environment, materials, specifications, and intended use.

Access Torque does not guarantee that a product will be suitable for a particular application unless suitability is expressly stated in writing by Access Torque for that specific application.

When compatibility depends on measurements, dimensions, model numbers, specifications, thread sizes, drive sizes, electrical characteristics, hydraulic requirements, or other technical information, the buyer is responsible for verifying those requirements before purchase and use.

5. Product Testing

When Access Torque states that a product has been tested, testing generally consists of reasonable, general functional testing intended to verify the overall operation and functionality of the equipment based on the type and condition of the particular product.

For example, testing may include operating the equipment, checking basic functions, verifying controls or adjustments, and observing the general operation of the product. The specific testing performed may vary depending on the product.

Access Torque's general functional testing is not a certification, engineering evaluation, safety certification, load test, calibration, inspection, or determination that the equipment is suitable for a particular application.

Buyer / End User remains responsible for determining what additional inspection, testing, calibration, load testing, certification, maintenance, or other evaluation is required before placing the equipment into service for its intended application.

Unless expressly stated otherwise in the individual listing, a statement that a product has been “tested,” “function tested,” or “tested for operation” means that Access Torque performed general functional testing and does not mean that the product has been certified to meet a particular manufacturer's specification, OSHA requirement, ANSI/ASME standard, industry standard, or other specific safety or performance requirement.

6. Warranties and “As-Is” Sales

Except for any express warranty specifically stated in writing by Access Torque in the applicable product listing or other written agreement, products are sold “AS IS” and without other warranties or conditions, express or implied, to the maximum extent permitted by applicable law.

To the maximum extent permitted by applicable law, Access Torque disclaims implied warranties, including the implied warranty of merchantability and the implied warranty of fitness for a particular purpose.

Nothing in these Terms is intended to exclude or limit any warranty, representation, remedy, or liability that cannot lawfully be excluded or limited under applicable law.

Any express description, specification, or representation made by Access Torque regarding a particular product remains applicable to that product and is not intended to be negated by this section.

7. 14-Day Performance Guarantee

Access Torque stands behind the functionality of the products it sells through its 14-Day Performance Guarantee.

If a product fails to perform as advertised or arrives defective, the buyer may request a refund, repair, or an equal replacement, if available, within 14 days of delivery, subject to the terms of the applicable Return Policy.

To initiate a return, the buyer should contact Access Torque with the order number and a description of the issue. Once a return is approved, Access Torque will provide return instructions.

Unless otherwise authorized by Access Torque, returned items must be in the same condition in which they were received.

The 14-Day Performance Guarantee applies to product functionality as represented in the applicable listing and does not cover damage or problems resulting from misuse, abuse, improper installation, improper maintenance, unauthorized modification, incorrect application, accident, neglect, or use outside the manufacturer's intended application.

The complete terms governing returns and the 14-Day Performance Guarantee are set forth in Access Torque's Return Policy, which is incorporated into these Terms by reference.

8. No Additional Warranty

Unless specifically stated otherwise in writing, the 14-Day Performance Guarantee is the extent of Access Torque LLC’s voluntary product performance and return guarantee.

No additional warranty, express or implied, is provided beyond what is expressly stated in the applicable product listing, written agreement, or Return Policy, except for warranties, remedies, or rights that cannot legally be excluded or limited under applicable law.

The 14-Day Performance Guarantee does not replace or eliminate the buyer's responsibility to properly inspect, test, calibrate, maintain, install, and safely operate equipment as required for the buyer's particular application.

9. Shipping and Delivery

Access Torque makes reasonable efforts to ship most individual items with free ground shipping within one business day of receiving an order.

Larger items, freight shipments, or orders requiring additional preparation, handling, packaging, or coordination may require two to three business days before shipment.

These timeframes refer to the time prior to shipment and do not constitute a guarantee of carrier transit time or final delivery date.

Once an order has been shipped, delivery times are determined by the applicable carrier and may be affected by weather, transportation delays, carrier volume, address issues, or other circumstances outside Access Torque's control.

The buyer is responsible for providing an accurate and complete shipping address.

For freight shipments, the buyer should inspect the shipment and packaging for visible damage upon delivery and should document and report apparent shipping damage as soon as reasonably possible.

10. Pricing and Errors

Access Torque makes reasonable efforts to maintain accurate pricing and product information.

In the event of a typographical error, pricing error, inventory error, incorrect product information, or other obvious mistake, Access Torque reserves the right to correct the error and, where appropriate, cancel an affected order and issue a refund.

If an order is canceled due to an obvious pricing or listing error, the buyer's payment for the canceled order will be refunded.

11. Inventory and One-of-a-Kind Items

Some products offered by Access Torque are individual, one-of-a-kind, discontinued, surplus, or otherwise limited-availability items.

Inventory availability is not guaranteed until an order has been accepted by Access Torque.

For products listed in quantities greater than one, individual units may vary somewhat in cosmetic condition or appearance, consistent with the applicable listing description.

If an item becomes unavailable before an order can be fulfilled, Access Torque may cancel the affected order and issue a refund.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Access Torque LLC shall not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising from or relating to the purchase, possession, installation, operation, maintenance, modification, or use of a product.

To the maximum extent permitted by applicable law, Access Torque's liability relating to a product shall not exceed the amount actually paid to Access Torque for that particular product.

This limitation applies regardless of whether a claim is based on contract, warranty, negligence, strict liability, or another legal theory, except to the extent such limitation is prohibited by applicable law.

Nothing in these Terms is intended to exclude or limit liability that cannot legally be excluded or limited.

13. Buyer and End-User Responsibility

The buyer and end user are responsible for determining whether a product is appropriate for its intended use and for ensuring that the product is used safely and lawfully.

The buyer and end user are responsible for:

  • Reviewing applicable manufacturer manuals and safety documentation.

  • Following applicable operating instructions and safety warnings.

  • Performing appropriate inspection, testing, calibration, and verification before use.

  • Proper installation, setup, maintenance, and operation.

  • Using equipment within applicable specifications, ratings, and limitations.

  • Complying with applicable federal, state, and local laws, regulations, codes, and safety requirements.

  • Ensuring that employees, contractors, operators, and other users are properly trained and qualified to operate the equipment.

  • Determining whether additional professional inspection, certification, engineering review, load testing, or other evaluation is required for the intended application.

The buyer assumes responsibility for the manner in which purchased equipment is used after delivery, subject to rights and liabilities that cannot legally be excluded or transferred.

14. Unauthorized Modification or Alteration

Products should not be modified, altered, repaired, disassembled, or converted in a manner that changes their intended operation or safety characteristics unless such work is appropriate and performed by a qualified person.

Access Torque is not responsible for problems, damage, injury, or loss resulting from unauthorized modification, alteration, improper repair, incorrect assembly, or other changes made after sale.

Any modification made after sale may affect the applicability of manufacturer specifications, certifications, ratings, warranties, or safety requirements.

15. Intellectual Property and Manufacturer Information

Manufacturer names, trademarks, logos, model numbers, part numbers, photographs, manuals, specifications, and other identifying information may appear in Access Torque listings for identification and informational purposes.

Access Torque does not claim ownership of third-party trademarks or manufacturer intellectual property unless expressly stated otherwise.

References to manufacturers or products do not necessarily indicate sponsorship, endorsement, affiliation, or authorization by the manufacturer.

16. Third-Party Information

Product information may occasionally include specifications, measurements, compatibility information, manuals, or other information obtained from manufacturers, distributors, catalogs, or other third-party sources.

While Access Torque makes reasonable efforts to verify important information, third-party information may contain errors or omissions.

The buyer remains responsible for independently verifying critical specifications and requirements before purchase or use.

17. Order Acceptance

Placement of an order constitutes an offer by the buyer to purchase the selected product.

Access Torque reserves the right to accept, decline, or cancel an order for legitimate reasons, including inventory discrepancies, pricing or listing errors, suspected fraudulent activity, inability to fulfill an order, or other circumstances affecting the transaction.

If Access Torque cancels an order after payment has been received, the applicable payment will be refunded.

18. Electronic Communications

When you place an order, contact Access Torque, or otherwise communicate electronically with us, you consent to receive electronic communications relating to your transaction, including order confirmations, shipping information, return communications, and other service-related notices.

Electronic communications may satisfy applicable requirements that communications be provided in writing, to the extent permitted by law.

19. Privacy

Access Torque's collection and use of customer information is governed by its applicable Privacy Policy.

By using our website or placing an order, you acknowledge that information may be collected and used as described in the applicable Privacy Policy and as permitted by law.

20. Changes to These Terms

Access Torque may update or modify these Terms from time to time.

The version of these Terms in effect at the time of an order will generally govern that transaction, except where a change is required by law or applies to an ongoing relationship.

The current version of these Terms may be made available through the Access Torque website.

21. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the State of South Carolina, without regard to conflict-of-law principles, except to the extent federal law or another applicable law requires otherwise.

22. Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision shall be enforced to the maximum extent permitted by law, and the remaining provisions shall remain in full force and effect.

23. Entire Agreement

These Terms, together with the applicable product listing, Return Policy, Privacy Policy, and any other written terms expressly incorporated into the transaction, constitute the agreement between the buyer and Access Torque regarding the applicable purchase.

If a specific written agreement or product listing conflicts with a general provision of these Terms, the specific written provision applicable to that product or transaction will control to the extent of the conflict.
